OpenCloud Studio Suite

These Terms of Service ("Terms") are a binding agreement between you and ItzPanda LLC, a Missouri limited liability company ("OpenCloud Studio", "we", "us"), governing your download and use of the OpenCloud Studio Suite desktop application and the OpenCloud Studio license service (together, the "Software"). By installing or using the Software you agree to these Terms. If you do not agree, do not use the Software.
1. What the Software is
OpenCloud Studio Suite is a Windows desktop application that helps Roblox creators manage their own experiences and groups by calling Roblox's official Open Cloud REST APIs on their behalf. It does not automate Roblox accounts, use unofficial endpoints, or perform any bot-like behavior.
The Software has a free tier and paid "Pro" modules. Some features (in-app purchase, license activation, license refresh) depend on our license service.
2. License grant
Subject to these Terms and your payment of the applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use one copy of the Software on the number of machines your plan permits, for the term of your plan.
You may not: resell, sublicense, rent, or redistribute the Software; share your license key or claim code; remove or circumvent license checks; reverse engineer, decompile, or disassemble the Software except to the extent that restriction is prohibited by applicable law; or use the Software to build a competing product.
The Software is licensed, not sold. We retain all right, title, and interest in the Software.
3. Your account, keys, and conduct
- You are responsible for your Roblox account, your Open Cloud API keys, and any OAuth applications you connect, and for keeping their use within the Roblox Terms of Use and the Roblox Open Cloud terms.
- You are responsible for everything you do with the Software — every place you publish, every player you ban, every group action you take.
- You must not use the Software to violate any law, infringe anyone's rights, or attempt to gain unauthorized access to any system.
- Your API keys and OAuth tokens are stored encrypted on your own machine and are transmitted only to Roblox. We never receive them. See the Privacy Policy.
4. Plans, billing, and renewals
- Monthly and Yearly plans are subscriptions billed in advance through our payment processor, and renew automatically at the end of each period until you cancel. You can cancel at any time; cancellation takes effect at the end of the current paid period and the Software reverts to the free tier after that.
- Lifetime plans are a single payment for a perpetual license to the version line you purchased. "Lifetime" means the lifetime of the product, not a guarantee of any particular feature, API, or timeframe.
- Prices are shown at checkout in US dollars and may change; a price change never affects a period you have already paid for.
- Card payments are processed by Stripe. Cryptocurrency (Litecoin) payments are processed on-chain and are final once confirmed.
- You are responsible for any taxes not collected at checkout.
5. All sales are final — no refunds
All purchases are final and non-refundable. Because the Software is a digital product delivered immediately, we do not offer refunds, credits, or exchanges for any reason, including unused time on a subscription, accidental purchase, failure to cancel before renewal, or dissatisfaction. Cancel a subscription before it renews if you do not want to be charged again. See the Refund Policy. This section does not limit rights that cannot be waived under the law that applies to you.
6. Chargebacks and abuse
If you initiate a chargeback or payment dispute, or if we reasonably believe a purchase is fraudulent, we may immediately revoke the associated license. We may suspend or terminate your license for any breach of these Terms.
7. Availability and changes
We provide the license service on a commercially reasonable-effort basis with no uptime guarantee, and we may modify, suspend, or discontinue any part of the Software at any time. The Software depends on Roblox Open Cloud APIs, which Roblox controls and may change or withdraw; we are not responsible for changes Roblox makes.
We may update these Terms. Material changes will be posted at https://ocstudio.xyz/terms with a new "last updated" date; continued use after a change means you accept it.
8. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY PARTICULAR ROBLOX API WILL REMAIN AVAILABLE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY ROBLOX MODERATION ACTION TAKEN AGAINST YOU, ARISING OUT OF OR RELATING TO THE SOFTWARE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You will indemnify and hold us harmless from any claim arising out of your use of the Software, your content, or your breach of these Terms.
11. Not affiliated with Roblox
OpenCloud Studio Suite is an independent product and is not affiliated with, endorsed by, or sponsored by Roblox Corporation. "Roblox" and "Open Cloud" are trademarks of Roblox Corporation, used here only to describe compatibility.
12. Governing law and disputes
These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-laws rules. The state and federal courts located in Missouri have exclusive jurisdiction over any dispute, and you consent to venue there. If any provision is unenforceable, the rest remains in effect.
